Tourmaline sells C$287.5 million of Topaz shares to fund buybacks, lifts dividend 5%

A bought-deal secondary of 10,000,000 Topaz Energy shares at C$28.75 cuts Tourmaline's stake from 12.9% to 6.4%, funds repurchases under the 15.5-million-share issuer bid, and the quarterly dividend goes to C$0.525 from the fourth quarter.

Tourmaline agreed on September 22, 2026 to sell 10,000,000 common shares of Topaz Energy, a royalty company, to a syndicate of underwriters at C$28.75 a share for gross proceeds of about C$287.5 million, with an over-allotment option of up to 15% [1]. The sale takes Tourmaline's Topaz stake from 19,931,097 shares, or 12.9%, to 9,931,097 shares, or 6.4%, and to 5.4% if the option is exercised; closing is expected on or about October 8 [1].

The proceeds are earmarked for repurchases of Tourmaline's own shares under the normal course issuer bid renewed in August, which allows up to 15,544,068 shares, 4% of the 388,601,707 outstanding at July 31, over the year to August 9, 2027; no shares were bought under the previous bid [2]. The company said that "repurchasing shares at this point in the commodity cycle represents an attractive use of capital" relative to faster growth or debt repayment, and raised the quarterly base dividend 5% to C$0.525, or C$2.10 a year, starting with the fourth-quarter payment on December 31 [1].

For a U.S. holder the transaction is a statement about relative value by the people who know the assets best: management is swapping part of a royalty holding for fewer Tourmaline shares at a price it has not disclosed in advance. Whether that is accretive depends entirely on what it pays, which the NCIB filings will show after the fact.
